Short version: use Construction OS for lawful work, pay your subscription on time, and don't try to break, resell, or misuse it. You own your content; we own the platform. Either side can end the contract with notice. Disputes go to Jamaican courts. A signed Master Service Agreement always wins over these general terms.
1. Acceptance
By accessing or using the Construction OS platform (the “Service”), you agree to these Terms of Service (the “Terms”). If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation. Where a signed Master Service Agreement (“MSA”) exists between you and Construction OS Digital Technologies LTD, that MSA prevails to the extent of any conflict.
2. The Service
Construction OS provides a construction and property lifecycle management platform. We may modify, add or discontinue features at our discretion; we will not materially reduce core functionality of a paid tier during an active subscription term.
3. Accounts & eligibility
You must be at least 16 years old and legally able to enter into a contract. You are responsible for the security of your credentials and for all activity under your account.
4. Subscriptions, fees & taxes
Paid subscriptions renew automatically at the end of each term unless cancelled before renewal. Fees are payable in advance and are non-refundable except where required by law. Fees are exclusive of taxes; you are responsible for applicable taxes, duties and levies.
5. Acceptable use
Your use of the Service is subject to our Acceptable Use Policy. We may suspend or terminate access for material breach.
6. Customer data & intellectual property
As between you and Construction OS, you own all data you or your users upload to or generate in the Service (“Customer Data”). You grant Construction OS a worldwide, non-exclusive, royalty-free licence to host, process and transmit Customer Data solely to provide and secure the Service. Construction OS retains all rights in the Service, the platform, and all improvements to it.
7. Feedback
If you send us feedback, you grant Construction OS a perpetual, irrevocable, royalty-free licence to use it without restriction.
8. Confidentiality
Each party will protect the other’s confidential information with no less than reasonable care and will not disclose it except to employees, contractors and advisers bound by confidentiality obligations.
9. Warranties & disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, Construction OS disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for any indirect, incidental, consequential, special, exemplary or punitive damages, or for lost profits, revenue, data, or business opportunities. Each party’s aggregate liability arising out of or related to the Service is capped at the fees paid by you to Construction OS in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
You will defend and indemnify Construction OS against third-party claims arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of applicable law.
12. Term & termination
These Terms remain in effect while you use the Service. Either party may terminate for material uncured breach on 30 days’ written notice. On termination, your access ceases; we will make Customer Data available for export for a reasonable period, after which it is deleted in accordance with our Privacy Policy.
13. Governing law & venue
These Terms are governed by the laws of Jamaica, without regard to its conflict of laws principles. The courts of Kingston, Jamaica have exclusive jurisdiction over any dispute, subject to the parties’ right to seek injunctive relief in any competent court.
14. Changes
We may update these Terms from time to time. Material changes will be notified through the Service or by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
